Subscription, Refund, Cancellation, Exit & Wind-Down Framework

Section 1 — Subscription Structure
1.1 Nature of Subscription
Subscription grants:
- Access to SaaS e-commerce infrastructure
- Store creation & management tools
- Hosting & technical support
- Platform updates & feature enhancements
Subscription does NOT include:
- Payment processing services
- Financial custody services
- Marketing guarantees
- Revenue guarantees
1.2 Billing Cycle
Subscription may be monthly, quarterly, or annual.
Fees are payable in advance, non-transferable, and exclusive of applicable taxes. GST shall be charged where applicable.
1.3 Commission Model Reminder
In addition to subscription:
- Commission calculated on Gross Transaction Value (GTV)
- Invoiced separately
- Payable within defined credit period
Commission is due irrespective of Merchant profitability.
Section 2 — Refund Policy (Subscription)
2.1 General Rule
All subscription payments are NON-REFUNDABLE.
This is due to immediate provisioning of digital services, infrastructure allocation, and license activation.
2.2 Exception Cases
Refund may be considered ONLY if:
- Duplicate payment made
- Platform service never activated
- Proven technical failure attributable solely to BillionBiz
Refund shall exclude transaction processing fees, be processed within reasonable time, and be subject to internal approval.
2.3 No Refund Scenarios
No refund shall be granted for:
- Low sales performance
- Merchant dissatisfaction
- Business closure
- Regulatory non-compliance by Merchant
- Suspension due to violation
- Termination for fraud
Section 3 — Cancellation Terms
3.1 Merchant-Initiated Cancellation
Merchant may cancel subscription by:
- Providing notice via dashboard/email
- Clearing outstanding dues
- Paying unpaid commission
Cancellation effective at end of billing cycle. No pro-rata refund unless legally required.
3.2 Platform-Initiated Termination
BillionBiz may terminate for:
- Fraud
- Prohibited products
- Excessive chargebacks
- Legal/regulatory risk
- Non-payment
- False onboarding declaration
Termination may be immediate in high-risk cases.
Section 4 — Post-Termination Consequences
Upon termination:
- Store deactivated
- Public storefront unpublished
- Access revoked
- Data export window initiated
Merchant remains liable for outstanding commission, legal claims, and indemnity obligations. Certain clauses survive termination.
Section 5 — Data Export & Migration
5.1 Data Export Window
Merchant may request data export within 30 days of termination.
Data format: Standard structured digital format (e.g., CSV/JSON).
5.2 Backup Retention
Platform may retain backups for limited technical retention period, tax and audit compliance, and dispute resolution. After retention expiry, data securely deleted.
Section 6 — Insolvency & Wind-Down
6.1 Merchant Insolvency
If Merchant files bankruptcy, becomes insolvent, or fails to fulfill customer obligations, BillionBiz may:
- Suspend store
- Notify customers
- Remove listings
BillionBiz not liable for Merchant insolvency.
6.2 Platform Insolvency (Protective Clause)
If BillionBiz ceases operations:
- 30-day notice to active Merchants (if feasible)
- Data export access provided
- No obligation to refund unused subscription unless legally required
Section 7 — Disputed Invoices
If Merchant disputes commission invoice:
- Written objection within defined timeframe
- Provide transaction evidence
- Undisputed portion must still be paid
Failure to pay undisputed amounts may trigger suspension.
Section 8 — Auto-Renewal Policy
Unless cancelled:
- Subscription auto-renews
- Merchant authorizes recurring billing
- Merchant responsible for maintaining valid payment method
Failure of payment may lead to service interruption.
Section 9 — Force Majeure
BillionBiz not liable for service interruption due to:
- Natural disasters
- Government restrictions
- Cyber attacks
- Internet outages
- Payment processor disruptions
- Regulatory changes
Section 10 — Wind-Down Liability Limitation
Upon termination:
- No ongoing obligation to host inactive store
- No obligation to maintain historical storefront
- No liability for loss of traffic, SEO ranking, or digital reputation
