International Expansion & Cross-Border Compliance Addendum

Primary Payment Processor (Merchant-Controlled Account): Razorpay
1. Purpose & Scope
This Addendum governs cross-border sales conducted by Merchants using the Platform. It applies when:
- Merchant sells to customers outside India
- Merchant operates from outside India
- Multi-currency payments are enabled
- International shipping is offered
This Addendum supplements the Master SaaS Agreement. In case of conflict, this Addendum prevails for cross-border transactions.
2. Regulatory Positioning (Global)
BillionBiz remains a pure SaaS technology provider and:
- Is not exporter or importer of record
- Does not act as customs broker
- Does not act as foreign exchange intermediary
- Does not provide remittance services
- Does not assume cross-border tax liability
All cross-border compliance rests solely with the Merchant.
3. Export / Import Compliance
3.1 Merchant Obligations
Merchant must:
- Comply with Indian export laws (if shipping from India)
- Ensure lawful import into destination country
- Provide accurate HS codes
- Provide accurate product descriptions
- Ensure labeling compliance
Merchant bears sole liability for customs seizure, product bans, border delays, and regulatory penalties.
4. Sanctions & Embargo Compliance
Merchant represents that it:
- Is not listed on sanctions lists
- Does not transact with restricted persons
- Does not sell into embargoed jurisdictions
Platform may geo-block high-risk countries. If required by law, access may be restricted.
5. VAT / GST / Sales Tax Obligations
5.1 Merchant Tax Responsibility
Merchant is solely responsible for:
- EU VAT registration (if applicable)
- UK VAT (if applicable)
- US state sales tax compliance
- Middle East VAT (if applicable)
- OSS/IOSS schemes (if required)
BillionBiz does not calculate or remit foreign taxes.
6. Foreign Exchange (FX) Risk
Where multi-currency payments are enabled:
- FX conversion is handled by payment processor
- Settlement currency determined by Merchant's gateway configuration
- Merchant bears FX fluctuation risk
BillionBiz is not responsible for conversion spreads, FX loss, or bank intermediary charges.
7. Cross-Border Payment Structure
All international transactions follow this flow:
Customer → Razorpay → Merchant Bank Account
BillionBiz does not intercept funds, delay settlements, hold reserves, or pool foreign currency.
Merchant must comply with FEMA and RBI foreign exchange guidelines where applicable.
8. Multi-Currency Display
Merchant may display local currency pricing or converted currency pricing.
Merchant must clearly disclose:
- Currency conversion methodology
- Applicable exchange rate timing
- Final charge currency
Disputes due to currency misunderstanding remain Merchant's responsibility.
9. Consumer Law Compliance (International)
Merchant must ensure compliance with:
- Local refund laws
- Cooling-off periods
- Warranty requirements
- Consumer disclosure mandates
Platform does not guarantee compliance with foreign consumer regulations.
10. Digital Goods & Restricted Exports
If Merchant sells digital goods internationally, Merchant must ensure:
- No encryption export violations
- No software export control violations
- No restricted technology transmission
Merchant liable for export control breaches.
11. Data Transfer & Privacy (Cross-Border)
Merchant acknowledges:
- Data may be processed in India or other jurisdictions
- Cross-border data transfer safeguards must be implemented where required
Merchant must update Privacy Policy to reflect international processing.
12. High-Risk Jurisdictions
Platform may restrict operations in jurisdictions subject to sanctions, high fraud ratios, or regulatory instability. Geo-blocking may be implemented without prior notice.
13. International Dispute Framework
Unless Merchant contract specifies otherwise, disputes between Merchant and BillionBiz remain subject to arbitration (as defined in Master Agreement) and Indian governing law.
Cross-border consumer disputes remain Merchant responsibility.
14. AML & Counter-Terror Financing
Merchant must not:
- Process transactions involving sanctioned entities
- Facilitate illegal remittances
- Use platform for trade-based money laundering
Suspicious international activity may trigger immediate suspension.
15. Regulatory Change Adaptability
If future regulations require local entity formation, tax collection facilitation, cross-border compliance adjustments, or RBI licensing, BillionBiz may amend the agreement accordingly. Continued use constitutes acceptance.
